1. Acceptance of these terms

1.1. These Terms of Use govern your access to and use of the UHS Logic website at uhslogic.com.au (the “Website”) and any related services provided by UHS Logic Pty Ltd ABN 85 603 469 209 (“UHS Logic”, “we”, “our”, “us”).

1.2. By accessing or using the Website you agree to be bound by these Terms of Use. If you do not agree, you must not access or use the Website.

1.3. Engagements for consulting, training, implementation or labour-hire services are governed by a separate written services agreement. Where that agreement is inconsistent with these Terms of Use, the services agreement prevails to the extent of the inconsistency.

2. Definitions

2.1. “Content” means all text, images, illustrations, diagrams, video, audio, code, schemas, datasets, brand assets and other material made available on the Website.

2.2. “Services” means the consulting, training, implementation, managed and ICT labour-hire offerings described on the Website and delivered by UHS Logic under a separate engagement.

2.3. “Submission” means any enquiry, contact form entry, comment, feedback, idea, resume or other information you provide to UHS Logic through the Website.

3. Use of this website

3.1. UHS Logic grants you a limited, non-exclusive, revocable, non-transferable licence to access and view the Website for your personal, professional and non-commercial evaluation purposes.

3.2. The licence in clause 3.1 does not include any right to reproduce, modify, distribute, publish, sell, rent, sublicense or otherwise commercially exploit the Website or its Content without our prior written consent.

3.3. UHS Logic may modify, suspend or discontinue the Website, or any part of it, at any time without notice. We are not liable to you or any third party for any modification, suspension or discontinuance of the Website.

4. Acceptable use

4.1. You agree not to use the Website in any way that:

(a) breaches any applicable law, regulation, code of conduct or third-party right; (b) infringes any intellectual property right; (c) is misleading, deceptive, defamatory, harassing, abusive, obscene or hateful; (d) attempts to interfere with, probe, scan, test the vulnerability of, breach the security of or disrupt the Website or any associated infrastructure; (e) introduces viruses, malware, trojans, worms, logic bombs or other technically harmful material; (f) uses automated means including scraping, crawling or harvesting other than by search engines indexing the Website in accordance with the robots policy at uhslogic.com.au/robots.txt; or (g) imposes an unreasonable or disproportionately large load on the Website or its supporting infrastructure.

4.2. UHS Logic reserves the right to investigate suspected breaches of clause 4.1 and to refer them to law enforcement or regulatory authorities where appropriate.

5. Intellectual property

5.1. All Content on the Website is owned by UHS Logic or its licensors and is protected by Australian and international copyright, trademark and other intellectual property laws.

5.2. Other than as permitted by clause 3.1, you may not reproduce, copy, modify, transmit, distribute, publish, create derivative works from, frame, scrape, or commercially exploit any Content without the prior written consent of UHS Logic.

5.3. Nothing in these Terms of Use transfers any intellectual property right in the Content or the Services to you.

6. Trademarks

6.1. “UHS Logic” and the UHS Logic mark, logo and trade dress are trademarks of UHS Logic Pty Ltd. RapidLogic™ is a trademark of UHS Logic Pty Ltd used in connection with our implementation methodology.

6.2. Microsoft, Microsoft 365, Dynamics 365, Azure, Microsoft Copilot, Microsoft Sentinel, Microsoft Defender, Microsoft Purview, Microsoft Entra and Power Platform are trademarks of Microsoft Corporation. All other trademarks referenced on the Website are the property of their respective owners. No endorsement is implied by reference.

7. Submissions and feedback

7.1. By making a Submission to UHS Logic through the Website you grant UHS Logic a worldwide, non-exclusive, royalty-free, perpetual licence to use, reproduce, store and process the Submission for the purposes of responding to your enquiry, delivering Services and improving our offering.

7.2. You warrant that any Submission you make is accurate, does not infringe any third-party right, and does not include sensitive personal information beyond what is reasonably necessary for the purpose of your enquiry.

7.3. Personal information contained in Submissions is handled in accordance with our Privacy Policy.

8. Third-party content and links

8.1. The Website may contain links to third-party websites or resources, including Microsoft documentation, partner registries and panel listings. UHS Logic does not control those resources and provides them for information only.

8.2. UHS Logic is not responsible for the content, accuracy, security or availability of any third-party resource and your use of such resources is at your own risk and subject to the terms imposed by the relevant third party.

9. Microsoft references

9.1. UHS Logic is an independent Microsoft Solutions Partner. References on the Website to Microsoft products, programs, certifications, frameworks or services describe our delivery capability and do not constitute statements by Microsoft.

9.2. Microsoft product capability, pricing, licensing terms, service levels, hosting regions and feature availability may change. The authoritative source for Microsoft product information is Microsoft. You should verify Microsoft-specific statements with Microsoft documentation before relying on them for procurement decisions.

10. Disclaimers

10.1. The Website and its Content are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, UHS Logic excludes all warranties, representations and conditions relating to the Website, whether express or implied.

10.2. UHS Logic does not warrant that the Website will be uninterrupted, error-free, secure, free of viruses or that defects will be corrected.

10.3. The Content is general in nature and is not a substitute for professional advice. You should obtain specific advice from a suitably qualified professional before acting on information published on the Website.

10.4. Nothing in these Terms of Use limits or excludes any consumer guarantee, right or remedy that cannot lawfully be limited or excluded under the Australian Consumer Law or other applicable consumer protection law.

11. Limitation of liability

11.1. To the maximum extent permitted by law, UHS Logic is not liable to you for any indirect, incidental, special, consequential, exemplary or punitive loss or damage, or for any loss of profit, revenue, business, anticipated savings, data, goodwill or reputation, arising out of or in connection with your use of the Website or the Content.

11.2. Where UHS Logic’s liability cannot lawfully be excluded, that liability is limited, at our option, to: (a) re-supplying the relevant service or its equivalent; or (b) payment of the cost of re-supplying the relevant service.

11.3. This clause 11 survives termination of these Terms of Use.

12. Indemnity

12.1. You indemnify UHS Logic, its officers, employees and agents against any claim, loss, damage, cost or expense (including reasonable legal costs) arising from or connected to: (a) your breach of these Terms of Use; (b) your misuse of the Website or the Content; or (c) any Submission you make.

13. Privacy

13.1. UHS Logic handles personal information in accordance with its Privacy Policy, which is incorporated by reference into these Terms of Use.

14. Termination and suspension

14.1. UHS Logic may suspend or terminate your access to the Website at any time, with or without notice, where we reasonably believe you have breached these Terms of Use or where suspension or termination is required by law.

14.2. Clauses that by their nature should survive termination, including clauses 5, 6, 7.1, 10, 11, 12 and 15, survive termination of these Terms of Use.

15. Governing law

15.1. These Terms of Use are governed by the laws of New South Wales, Australia. You submit to the exclusive jurisdiction of the courts of New South Wales and the courts hearing appeals from those courts.

16. Changes to these terms

16.1. UHS Logic may update these Terms of Use from time to time. The current version is the one published at uhslogic.com.au/terms and the “Last updated” date identifies when it was most recently changed.

16.2. Your continued use of the Website after a change takes effect constitutes acceptance of the updated Terms of Use.

17. Severability and waiver

17.1. If a provision of these Terms of Use is held to be invalid, illegal or unenforceable, the remaining provisions continue in full force and effect.

17.2. A failure or delay by UHS Logic in exercising a right under these Terms of Use is not a waiver of that right.
